The first general meeting of shareholders | In the morning on 15th August 2009, the first General Meeting of shareholders and opening ceremony of Secoin Ha Tay Building Materials Joint Stock Company was held at Anh Quan Hotel, No.1 Thanh Binh, Ha Dong, Ha Noi. There are 63 shareholders attending the ceremony representing for 2,100,000 shares, accounted for 100% chartered capital and approximately 50 invited guests from different organizations, Vietnam Building Material Associations and Vietnam Building Ceramics Association, partners, press agencies- multi media masses and representatives of 8 member companies in Secoin system.

Implementing policy of Member Council of Secoin Co., Ltd on restructuring the enterprise, transferring ownership form in order to expand and develop Secoin System, take advantage of market chances and expand and develop goods branches, improve competitiveness, attract superior management staff meanwhile upgrade administrative system, Secoin Co., Ltd has implemented acquitization in Building Material Factories in its system. Secoin Ha Tay is the second unit in the system which carried out this process after Secoin Sai Gon Industry – Investment Joint Stock Company.
Secoin Ha Tay Building Material Joint Stock Company has chartered capital of 21 billions VND. In the first issue, the Company has offered common shares with two types of shares: honored shares (awarded) with total value of 1 billion VND and preferred shares for staffs. Secoin Co., Ltd holds 1, 519, 150 shares occupied for 72.34% of chartered capital; 62 other shareholders are staffs of the company who hold 580, 850 shares occupied for 27.66% of chartered capital.

In the first general meeting of shareholders and opening ceremony of Secoin Ha Tay Building Materials, shareholders and representatives reviewed the important turning points during 10 years of establishment and development of branches of Secoin Ha Tay. In June, 2000, Secoin Company signed in a contract to acquire whole SUPER BRICK – high grade brick company (100% Japanese-owed) specializing in block tiles production with the area land and factory of 14,000 m2. Immediately, the branch of Secoin Company in Ha Tay was established. In February, 2008 Ha Tay People’s Committee issued permission to allow Ha Tay Secoin to expand its area from 14,000 m2 to 36,000 m2. Until early 2008, this branch acquired the whole Terrazzo tile plant of Thang Long Constrexim Company with the area of 7,000 m2 and used all modern and automatic equipments of OCEM and CASSANI (Italy) with capacity of 300,000 m2 tiles per year. By acquisition of Terrazzo Constrexim Factory, Secoin Ha Tay has become the largest scale unburnt building materials factory in the whole country.
At the defined value time of the enterprise on 31st December 2008, Secoin Ha Tay has value of 39,176,787,493 VND of which real value of the ownership’s capital at the branch is 33,876,112,183 VND.
The first general meeting of Ha Tay Secoin Building Materials Joint Stock Company was taken place in hustle, serious and democratic atmosphere which took much time to discuss and approve the most two important documents of the meeting by voting, including: Charter of organization and activity of the Company and five years business plan after capitalization 2009 – 2013 with high agreement of all shareholders. Strategic purpose imposed for Secoin Ha Tay Building Materials Joint Stock Company are:
- To become key company in the North of the whole Secoin system – is the key member company of Secoin in producing high quality tiles for export markets;
- To continue building and developing company with high and sustainable growth rate from 20% to 25% per year, effective business, gaining an interest rate of at least 10% per year.
- To focus on producing UNBURNT – OUTDOOR – HIGH GRADE building materials.
In term of investment in expanding products range, Secoin Ha Tay Building Materials Joint Stock Company has planned to implement 4 investment projects to produce 4 types of un-burnt building materials which have not been appeared in Vietnam yet.
The meeting chose and selected the most qualified persons for the Board of Directors and Board of inspection of Secoin Ha Tay Building Materials Joint Stock Company, at the same time approving for Minutes and Resolution of the Shareholders General Meeting.
